PLEASE READ THESE TERMS AND CONDITIONS, ALSO REFERRED TO AS “PROGRAM RULES”, CAREFULLY. BY ACCESSING OR USING THE IMMUNOTEK LOYALTY REWARDS PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU SHOULD NOT PARTICIPATE IN THE IMMUNOTEK LOYALTY REWARDS PROGRAM.

You agree that we may provide updates, notices, disclosures and amendments to these Terms and Conditions, and other information relating to the ImmunoTek Loyalty Rewards Program by electronic means, including posting such information and materials online at https://www.immunotek.com/.

ADDITIONAL TERMS

These Terms and Conditions apply to your access to, and participation in, the ImmunoTek Loyalty Rewards Program in the United States (“ImmunoTek Rewards”), which is operated by ImmunoTek Bio Centers or its subsidiaries, licensees and affiliated companies (collectively, “ImmunoTek”). These Terms and Conditions do not alter in any way the terms or conditions of any other agreement you may have with ImmunoTek for other products or services.

CHANGES TO TERMS

ImmunoTek reserves the right to change or modify these Terms and Conditions or any policy, FAQ, offer, promotion, benefit or guideline pertaining to ImmunoTek Rewards, in whole or in part, at any time and in its sole discretion. Any changes or modifications will be effective immediately and may be posted to https://www.immunotek.com/, so please check back from time to time. You waive any right you may have to receive specific notice of such changes or modifications, and your continued access to or participation in ImmunoTek Rewards following any such changes or modifications confirms your acceptance. If you do not agree to these Terms and Conditions, you must stop accessing and participating in ImmunoTek Rewards.

IMPORTANT PRIVACY STATEMENT

Our Privacy Statement is incorporated into these Terms and Conditions. Please read the Privacy Statement carefully to understand how ImmunoTek collects, uses and discloses information about customers, how to update or change your personal information, and how we communicate with you.

ABOUT IMMUNOTEK REWARDS

Donors can earn and maintain tier status based on donation frequency and activity earned within twelve (12) months from enrollment date and on each new 12-month window period thereafter.  A “12-month window” is understood to mean a continuous 12-month period that begins on the date a Donor enrolls in the ImmunoTek Rewards program and ends 12 months thereafter and resets each 12-month period immediately after completion of the prior 12-month window.  For example, a Donor who enrolls in the ImmunoTek Rewards program on January 1 will have an initial 12-month window beginning on January 1 and ending on December 31 of that year and a new 12-month window beginning on January 1 of the following year and ending on December 31 of that year.

JOINING IMMUNOTEK REWARDS

To join ImmunoTek rewards, existing and prospective Donors will download the ImmunoTek Rewards App from the Apple Store or Google Play Store and complete the account creation process. Account creation requires Donor name, phone number, email address, and may only be completed if the donor resides within the marketing area of an active ImmunoTek donor center. The Donor will be required to read and agree to the ImmunoTek Privacy Policy and read and agree to these ImmunoTek Rewards Terms and Conditions, also referred to as ‘Program Rules.’

EARNING POINTS

The Rewards that are available to you through ImmunoTek Rewards are based on the number of Points that you earn.

  1. Base Points are earned per donation after a minimum number of donations during a 12-month window, provided the Donor has met the requirements outlined in Program Tiers. The amount of base Points a Donor earns will depend on the Donor’s achieved Program Tier.
  2. Bonus Points are earned per donation after a Donor has achieved the Black Tier, provided the Donor has met the requirements outlined in Program Tiers. The amount of bonus Points a Donor earns will depend on the Donor’s achieved Program Tier.
  3. Earned Points and Tier changes take up to 24 hours to reflect within the ImmunoTek Rewards App.
  4. Program Tiers –

Blue Tier – All Donors start in the Blue Tier when they first enroll to participate in ImmunoTek Rewards. Donors begin again at the Blue Tier at the end of a 12-month window. Blue Tier consists of Donors who have donated 0-14 times in a 12-month window.

        • Blue Tier Donors have access to in-App Activities.
        • Blue Tier Donors are not eligible for base Points or bonus Points.

Purple Tier –Donors achieve Purple Tier by donating at least 15 times in a 12-month window.

        • When Donors reach Purple Tier, following their 15th donation in a 12-month period, they will earn 500 tier achievement Points.
        • Purple Tier Donors will earn 25 base Points for each donation.
        • Purple Tier Donors are not eligible for bonus Points.

Black Tier –Donors achieve Black Tier by donating at least 50 times in a 12-month window.

        • When Donors reach Black Tier, following their 50th donation in a 12-month period, they will earn 1,250 tier achievement Points.
        • Black Tier Donors will earn 25 base Points for each donation.
        • Black Tier Donors will also earn 175 bonus Points per donation.

Silver Tier –Donors achieve Silver Tier by donating at least 60 times in a 12-month window.

        • When Donors reach Silver Tier, following their 60th donation in a 12-month period, they will earn 2,500 tier achievement Points.
        • Silver Tier Donors will earn 25 base Points for each donation.
        • Silver Tier Donors will also earn 225 bonus Points per donation.

Gold Tier –Donors achieve Gold Tier by donating at least 70 times in a 12-month window.

        • When Donors reach Gold Tier, following their 70th donation in a 12-month period, they will earn 5,000 tier achievement
        • Gold Tier Donors will earn 25 base Points for each donation.
        • Gold Tier Donors will also earn 325 bonus Points per donation.

a. Tier achievement rewards, meaning the Points earned moving from one tier to the next, may only be earned one time during each 12-month window. Each Donor may earn up to four (4) tier achievement rewards per 12-month window as outlined in these Terms and Conditions.

b. Bonus Points will be awarded for subsequent donations after a Tier is achieved. For example, a Donor who has achieved Black Tier will be awarded 175 bonus Points for each donation starting with the 51st donation.

c. Donor eligibility for this tier reward is reset every 12-month window.

d. Bonus Points are not cumulative. Achieving a new status will reward the bonus Points specific to that tier, replacing the bonus Points earned from the previous tier. For example, a Donor who has achieved Gold Tier will receive 25 base Points for each donation plus 325 bonus Points, for a total of 350 Points per donation.

e. At the beginning of each 12-month window, the Donor will be reset to Blue Tier.

  1. In-App Activities Points Earned –

a. “Spin the wheel” is activated after 5 donations in a calendar month. This is reset after each spin is completed and locked until the next calendar month.  Points earned are based upon the spin value landed on.  The number of potential Points and percentage chance on each “Spin the wheel” is as follows:

        • 10 points – 0%
        • 25 points – 0%
        • 50 points – 40%
        • 100 points – 30%
        • 150 points – 20%
        • 200 points – 10%

b. “Trivia Questions” are activated after 6 donations in a calendar month. This is reset after each set of questions is completed and locked until the next calendar month.  Donors must answer all questions correctly to earn Points.  Donors earn 200 Points upon successful completion.

c. “Demographic survey” – After completing one donation, this activity will unlock. Donors can earn 200 Points upon completion of the demographic survey. This opportunity to earn Points is available one time only and does not reset at the new 12-month windows.

d. “Tell us how we did” survey is unlocked after a Donor’s 2nd and 5th donation of each calendar month. Donors may earn 25 Points upon completion of each “Tell us how we did” survey.

e. “Your Voice Matters” survey is unlocked, one time, after a Donor’s initial donation. Upon completion, Donors will earn 200 Points. This activity does not reset at new 12-month windows.

f. Donors earn 50 Points, one time, when they first sign up on the ImmunoTek Rewards App.

REDEEMING POINTS

Each 100 Points is valued at $1.

Points may only be redeemed in increments of 2000 Points for $20 and only for credit on a Donor’s ImmunoTek-branded reloadable pay card (Donor’s Pay Card).  A minimum of 2000 Points is required for redemption.

When Points are redeemed, they are added to Donor’s Pay Card within four (4) business days.

Point redemption is the sole responsibility of Donor. If a Donor does not redeem Points, they are subject to expiration as described in these Terms and Conditions. Redemptions take up to 24 hours to reflect within the ImmunoTek Rewards App.

OTHER IMPORTANT INFORMATION YOU SHOULD KNOW

There are no participation or membership fees associated with ImmunoTek Rewards. Points accrued in connection with ImmunoTek Rewards are promotional and can only be redeemed for credit on the Donor’s Pay Card.

Donor Pay Card balance information and center payment history takes up to 24 hours from completion of donation to update within the ImmunoTek Rewards App.

Your Points, Awards, and ImmunoTek Rewards account are personal to you and may not be sold, transferred or assigned to, or shared with, family, friends or others, or used by you for any commercial purpose. You may have only one (1) ImmunoTek Rewards account.

Without notice to you, ImmunoTek reserves the right to suspend any ImmunoTek Rewards registered to your account and/or terminate your account and/or your participation in ImmunoTek Rewards if ImmunoTek determines, in its sole discretion, that you have violated these Terms and Conditions or that the use of your ImmunoTek Rewards account is unauthorized, deceptive, fraudulent or otherwise unlawful. ImmunoTek may, in its sole discretion, suspend, cancel or combine ImmunoTek Rewards accounts that appear to be duplicative. In the event your participation in ImmunoTek Rewards is terminated, all accrued Points in your account are void.

When a Donor becomes inactive (defined as no donations made within a 6-month period), without further notice to you, all Points previously earned immediately expire, and Donor tier status is reset to Blue Tier. Donors are not eligible to earn Points while inactive. Inactive Donors can only see news, Points balance, and transaction information in the ImmunoTek Rewards App.

There is no cap on the number of Points a Donor may earn, but Points are limited by frequency of donations, expiration dates, and as otherwise set out in these Terms and Conditions.

Donor’s Points expire 12 months after earning the Point. For example, if a Point is earned on October 1, 2024, it will expire on October 1, 2025.

Awards redeemed by a Donor prior to the Point’s expiration are still valid even though the Award may not yet have been fulfilled at the time of Point expiration.

Permanently deferred Donors (defined as any Donor who cannot continue to participate in the donation process due to medical history, high risk behavior, health history, or unsuitable test results) can only see news, Donor’s Pay Card balance and transaction information on the ImmunoTek Rewards App and tier status achieved is reset and moved to the Blue Tier.  All Points in the account of permanently deferred Donors will be cancelled 30 days after becoming a permanently deferred Donor and any Points not redeemed during the 30-day period will be forfeited.  Application will update appropriately within 24 hours.

Temporary deferred Donors (defined as any Donor deferred for a specific amount time and unable to return to donate until that time has lapsed) or Indefinite deferred Donors (defined as any Donor that is deferred for an unspecified amount of time, but potentially eligible for future donation such as behavior, or unsuitable veins) can only earn Points if they were already qualified to potentially earn Points before being deferred (e.g., if they qualified to participate in the “Spin the wheel” before being deferred, Donor can still participate and spin wheel to earn Points); additionally, temporary or indefinite deferred Donors can still redeem Points.

Donors can cancel their ImmunoTek Rewards account in the ImmunoTek Rewards App at any time. Donors who cancel their ImmunoTek Rewards forfeit all Points earned, tier statuses achieved, redemption opportunities and other Point earning opportunities – even if Donors cancelled in error. Cancellation of ImmunoTek Rewards account does not impact any previously completed Points redemptions.

Only one account may be created per unique phone number, and unique email address. It is not permissible to use the same phone number or email address for multiple accounts.

Points have no monetary value until a valid redemption is complete and credited on the Donor’s Pay Card.

ImmunoTek reserves the right to change, modify, discontinue or cancel ImmunoTek Rewards or any part of the ImmunoTek Rewards program, at any time and in its sole discretion, without notice to you. The Company may terminate the Loyalty Program without notice.  At the Company’s sole discretion, the Company may choose to substitute a similar loyalty program for the ImmunoTek Rewards at any time. A Donor may not accumulate Points after the termination of ImmunoTek Rewards. If the ImmunoTek Rewards is terminated, all unredeemed Points will be forfeited without any obligation or liability, and no Award claims will be honored after the conclusion of any notice period. The Company may terminate any of the Loyalty Program in whole or in part.

Except as otherwise expressly prohibited or limited by applicable laws, the Company has the right to change, limit, modify or cancel the Loyalty Program Rules and Awards, with or without notice, even though such changes may affect the value of Points, or the ability to obtain certain Awards. The Company may, among other things: (i) increase or decrease the number of Points received per donation; (ii) withdraw, limit, modify or cancel any Award; (iii) increase or decrease the number of donations required for Tier progression; and (iv) increase or decrease the redemption threshold.

GOVERNING LAW AND JURISDICTION; JURY TRIAL WAIVER

These Terms and Conditions or your access to or participation in ImmunoTek Rewards are governed by the laws of the State of Delaware, United States of America, without regard to Delaware’s conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods shall have no applicability. ImmunoTek and you irrevocably consent to the exclusive jurisdiction of the federal and state courts in New Castle County, Delaware, United States of America, for purposes of any legal action arising out of or related to access to or participation in ImmunoTek Rewards or these Terms and Conditions, and waive any objections as to personal jurisdiction or as to the laying of venue in such courts due to: (a) inconvenient forum or (b) any other basis or any right to seek to transfer or change venue of any such action to another court.  You and ImmunoTek irrevocably waive all right to trial by jury in any suit, action or proceeding with respect to the ImmunoTek Loyalty Rewards Program, including these Terms and Conditions.

SEVERABILITY AND SURVIVAL

Except as otherwise provided herein, if any provision or part of a provision of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision or part of the provision shall be deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.
